These Terms of Service (the "Terms") are a binding agreement between ClassIQ, LLC, a California limited liability company ("ClassIQ", "we", "us", or "our") and the business or person that creates an account or uses the ClassIQ platform at classiq.app and its subdomains, including the ClassIQ mobile applications (together, the "Service"). By creating an account, accepting these Terms, or using the Service, you ("you" or the "Studio") agree to these Terms. If you accept on behalf of a business, you represent that you are authorized to bind it.
1. The Service
ClassIQ is a white-label class booking and membership-management platform that lets fitness studios and similar businesses publish schedules, take bookings and memberships, manage members, and accept payments through Stripe. The Service includes member-facing surfaces — each Studio's booking portal and the ClassIQ mobile app — through which your members book, manage, and check in to your classes. We may add, change, or remove features over time.
2. Accounts and eligibility
You must provide accurate account information and keep it current. You are responsible for your account credentials and for all activity under your account, including your staff. You must be able to form a binding contract to use the Service. Notify us promptly of any unauthorized use.
Age requirement. A member must be at least 13 years old to create and hold their own account. ClassIQ does not knowingly allow anyone under 13 to register their own account or credentials.
Dependents. A Studio may instead offer a family accounts feature through which a parent or legal guardian adds a minor of any age to the Service as a "Dependent" — a managed account with no email, password, or independent ability to sign in. For a Dependent, the parent or legal guardian who created the account is the "you" under these Terms with respect to that Dependent: they are the contracting party, they represent that they have the authority to consent on the Dependent's behalf, and they are responsible for the Dependent's use of the Service.
3. Your responsibilities
- You are responsible for your own content, your members, your pricing, your policies, and your compliance with the laws that apply to your business.
- You are the data controller for your members' personal information. You are responsible for obtaining any required consents and for providing your members with appropriate privacy notices. Our handling of that data is governed by the Data Processing Addendum referenced below and our Privacy Policy.
- You will not use the Service unlawfully or in a way that harms ClassIQ, other users, or third parties.
4. Payments and money flow
This is important, so we state it plainly:
- Your members pay you directly through Stripe. ClassIQ uses Stripe Connect, and member payments are processed on your connected Stripe account.
- ClassIQ is not the merchant of record for your member transactions. You are the merchant of record. You are solely responsible for your prices, the goods and services you sell, applicable sales taxes, chargebacks, disputes, and refunds to your members in accordance with your own policies.
- Your use of Stripe is also subject to the Stripe Connected Account Agreement and Stripe's terms. You are responsible for keeping your Stripe account in good standing.
- ClassIQ may collect (a) a per-transaction application fee on member payments and (b) a platform fee for your use of the Service, each as disclosed to you. Except as required by law or expressly stated, fees paid to ClassIQ are non-refundable.
- ClassIQ does not store your members' full card or bank details; those are handled by Stripe. See our Privacy Policy.
5. Acceptable use
You will not, and will not allow others to: violate any law or third-party right; upload malicious code; attempt to gain unauthorized access to the Service or its systems; interfere with or disrupt the Service; reverse engineer or resell the Service except as permitted; or use the Service to send unlawful, infringing, or deceptive content.
6. Intellectual property
ClassIQ and its licensors own the Service, including all software, design, and trademarks. We grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription. You retain all rights in the content and data you and your members put into the Service ("Your Content"), and you grant ClassIQ the rights needed to host, process, and display Your Content to operate and improve the Service.
7. Third-party services
The Service integrates third-party services (such as Stripe for payments and email and analytics providers). Your use of those services may be subject to their own terms, and ClassIQ is not responsible for third-party services.
8. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. ClassIQ DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.
Physical activity. ClassIQ is a software platform only. We do not provide fitness, health, medical, or training services and are not involved in the classes, programs, or facilities offered by Studios. Studios are solely responsible for the safety of their activities, for any waivers, releases, or health screenings they use with their members, and for any injury or harm arising from participation in their programs.
9. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ClassIQ AND ITS AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL. ClassIQ'S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID ClassIQ IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE LIABILITY, OR (B) ONE HUNDRED U.S. DOLLARS ($100). Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
10. Indemnification
You will defend, indemnify, and hold harmless ClassIQ and its affiliates from and against any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of or related to: your use of the Service; Your Content; your products, services, classes, and programs; your relationship with and transactions with your members; your tax obligations; and your breach of these Terms or violation of law.
11. Term and termination
These Terms apply while you use the Service. You may stop using the Service at any time. We may suspend or terminate your access if you breach these Terms, fail to pay fees, or use the Service in a way that creates risk or legal exposure for ClassIQ or others. On termination, your right to use the Service ends; we will make Your Content available for export for a reasonable period and then delete it, except where the law requires retention. Sections that by their nature should survive termination will survive.
12. Changes to the Service and these Terms
We may modify the Service or these Terms. Each version of these Terms is tracked, dated, and identified by a version number. If we make material changes, we will provide notice and, where appropriate, require re-acceptance before continued use.
13. Governing law
These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules. The courts located in the State of California will have exclusive jurisdiction over any dispute that is not subject to another agreed dispute-resolution process, and each party consents to that jurisdiction and venue.
14. General
These Terms, together with the Privacy Policy and the Data Processing Addendum, are the entire agreement between you and ClassIQ about the Service. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. If any provision is unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You consent to receive notices and communications electronically.
15. Data processing
Where ClassIQ processes personal information on your behalf, our Data Processing Addendum applies and forms part of these Terms. It identifies the parties' roles (you as controller, ClassIQ as processor), the approved sub-processors, and the safeguards for any international transfers.
